Terms of Service

Last updated: August 22, 2026

These Terms of Service ("Terms") govern your access to and use of the Magnolia Portal (the "Portal"), operated by MM Creative Group, LLC ("Magnolia," "we," "us"). By accessing or using the Portal, you agree to these Terms. If you use the Portal on behalf of an organization, you agree to these Terms on that organization's behalf.

1. The service

The Portal is a private, invitation-based platform where Magnolia clients and employees access assigned modules, forms, tables, files, courses, and messaging. It is provided to support our working relationship and is not a public or general-purpose service.

2. Accounts and access

Accounts are created by Magnolia and issued by invitation. You are responsible for keeping your sign-in credentials confidential and for activity that happens under your account. Your role, whether client, staff, or administrator, determines what you can access. Notify us promptly if you believe your account has been used without your permission.

3. Acceptable use

You agree not to:

  • Attempt to access data belonging to another organization, or any area you are not authorized to use
  • Interfere with, disrupt, probe, or attempt to bypass the security of the Portal
  • Upload malicious code, or content that is unlawful, infringing, or that you do not have the right to share
  • Copy, scrape, reverse engineer, or resell the Portal or its underlying software
  • Use the Portal in violation of any applicable law

4. Your content

Your organization keeps ownership of the content you submit to the Portal, including form responses, uploaded files, table data, and messages. You grant Magnolia the limited right to store, process, and display that content as needed to operate the Portal for you. You are responsible for having the right to submit the content you provide, and for not submitting Social Security numbers, health information, or payment and compensation figures, which the Portal is not built to hold.

5. Our platform

Magnolia owns the Portal, including its software, design, and brand. These Terms give you the right to use the Portal, and do not transfer any ownership of it to you or your organization.

6. Confidentiality

Content within an organization's workspace is treated as confidential to that organization and to Magnolia. We separate each organization's data and limit access to authorized Magnolia staff who need it to provide the service.

7. Third-party services

The Portal relies on third-party providers for authentication, hosting, email delivery, and embedded video. Your use of those parts of the Portal may also be subject to those providers' terms and policies. We are not responsible for third-party services outside our control.

8. Availability

We work to keep the Portal available and reliable, but we provide it on an "as is" and "as available" basis. We do not guarantee that it will be uninterrupted or error free, and we may change, suspend, or discontinue features with reasonable notice where practical.

9. Disclaimer of warranties

To the fullest extent permitted by law, the Portal is provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, Magnolia will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Portal. Magnolia's total liability for any claim relating to the Portal will not exceed US $100. If your organization has a separate services agreement with Magnolia, the limitation of liability in that agreement governs and controls over this section.".

11. Suspension and termination

We may suspend or end access to the Portal if these Terms are violated or to protect the Portal, its users, or Magnolia. Your organization may request that its access be ended at any time. When access ends, your ability to use the Portal stops, and your information is handled as described in our Privacy Policy.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will change the date above, and continued use of the Portal after an update means you accept the revised Terms.

13. Governing law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Any dispute relating to the Portal will be brought in the state or federal courts located in Putnam County, Tennessee.
